The Terms and Conditions outlined below regulate the facilitation services provided by ULPO.co.in and supplement the website's terms of use, which apply to your use of the site at any given time. It is essential to thoroughly review these Terms and Conditions before utilizing our website and facilitation services, as doing so signifies your acceptance and commitment to adhere to them. If you do not agree with these Terms and Conditions, please exit the website and discontinue using the facilitation services immediately.

We, Human Compass LLP (“we”, “us”, “Human Compass”) make the Facilitation Services available to you via the Website – www.ULPO.co.in. We are a limited liability partnership registered in Mumbai, India.

1.Definitions and Interpretation

1.1.In these Terms and Conditions, the following words and expressions have the following meanings:

  1. ULPO Request: A request submitted by a Customer, as defined in Clause 2.2 below.
  2. Customer: Includes both businesses and consumers who utilize the Website to locate a Professional capable of providing the required professional services.
  3. Customer Contract: The agreement between the Professional and the Customer governing the provision of Services.
  4. Facilitation Services: The provision by ULPO of a Professional's contact details, as outlined in Clause 2.4.
  5. Professional: An individual offering professional services to Customers.
  6. Services: The professional services rendered by a Professional to a Customer.
  7. Website: Refers to the website located at www.ULPO.co.in.

 

2.The Facilitation Services

2.1. Operation of the Website

Human Compass LLP operates the Website ULPO.co.in, which is designed to facilitate introductions between potential customers and professionals for the provision of various services. The use of the Website is subject to our separate terms of use, which apply concurrently with these Terms and Conditions.

 

2.2. Customer Use of the Website

Customers may utilize the Website to search for potential professionals. The Website's algorithms assist in identifying professionals who may meet the Customer's specified requirements. Any request submitted by a Customer shall be referred to as a "ULPO Request." Upon receipt of such a request, we will facilitate contact between the Customer and Professionals who may fulfil the criteria provided.

2.3. Use of Facilitation Services

To utilize the Facilitation Services, you must accept these Terms and Conditions by following the instructions on the Website. Upon acceptance, a contract will be formed between you and us for the provision of the Facilitation Services. Additionally, if you wish to engage the services of any Professional, you will be required to enter into a separate contract with that Professional for the provision of their services. Further details regarding this process are provided below.

2.4. Provision of Professional Details

Upon submission of a ULPO Request, you will be provided with the details of up to five Professionals who may be capable of fulfilling the criteria you specified. These Professionals will contact you directly, and you may also choose to initiate contact with them. In the event that no Professionals are identified who can meet your criteria, you will be notified accordingly and given the opportunity to broaden your requirements.

2.5. Engagement of Professionals

You are entitled to review the information received from the Professionals and may decide whether to engage a Professional to provide the required Services. It is important to note that ULPO.co.in does not endorse or guarantee that the Professionals identified through our Facilitation Services can fulfil your requirements. It is your sole responsibility to assess the Professional's ability to meet your needs prior to entering into a Customer Contract. If you engage a Professional, you will become their customer and enter into a separate contract with them. For clarity, the Services are provided by the Professional and not by ULPO.co.in.

2.6. Additional Services

ULPO.co.in may provide a link from the Website to a Professional's own website, where applicable. Additionally, the Website will include a facility for Customers to review a Professional's performance, which will be made available for other prospective customers to view.

2.7. Guidelines for Reviews

Reviews must be truthful and based on your personal experience. They must not contain racist or sexist content, or any material that is otherwise offensive, discriminatory, or condescending towards individuals or groups. Additionally, reviews should not include copyrighted material, unlawful content, personal information, or any information known to be inaccurate or false. We reserve the right to remove any reviews that fail to comply with these guidelines and may prohibit you from submitting further reviews. 2.8. Liability for Third-Party Content

ULPO.co.in has no control or influence over the content of a Professional's website and disclaims any liability for such content. The responsibility for the content of third-party websites rests solely with the respective Professional. You must contract directly with the Professional for any Services you require from them.

2.9. Provision of Facilitation Services

The Facilitation Services will be provided to you without charge. However, you may opt for premium services at a nominal fee, as specified from time to time. Details regarding these premium services will be available on the Website.



Important:
ULPO.co.in functions solely as a facilitator of introductions between Customers and Professionals, and the provision of any Services by a Professional to a Customer shall be governed by a separate and distinct legal agreement. In the event of any issues arising from the performance of those Services by the Professional, you shall have legal recourse against the Professional directly. For the avoidance of doubt, ULPO.co.in and Human Compass LLP shall not be liable for such issues, and any claims for redress shall be directed solely against the Professional.

 

3.Ending our contract

You have the right to terminate your contract with us at any time. Termination can be affected by simply ceasing to utilize the Facilitation Services.

5.Liability

5.1. As provided for in Clause 2 above, you acknowledge that the contract for the provision of the Services is between you and the Professional and as such, it is the Professional who is responsible for the provision of the Services to you. ULPO.co.in or Human Compass LLP shall have no liability to you whatsoever in respect of the provision of the Services and / or your dealings with any of the Professionals who are listed on the Website.

5.2. Exceptions to Liability Limitations

Nothing in these Terms and Conditions shall limit or exclude our liability to you for:

  1. Death or personal injury caused by negligence.
  2. Fraud or fraudulent misrepresentation.
  3. Any other matter for which the law prohibits us from excluding or limiting liability.

5.3. Liability for Third-Party Websites

We disclaim any liability for the content of third-party websites linked from our Website. Furthermore, we shall not be liable for any loss or damage that may arise from your use of such third-party websites.



5.5. Consumer Use of Facilitation Services

If you are an individual consumer, please be advised that the Facilitation Services are provided solely for domestic and private use. You agree not to utilize the Facilitation Services for any commercial or business purposes. We disclaim any liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity arising from your use of the Facilitation Services.

5.6. Business Customer Terms

If you are a business customer, we exclude all conditions, warranties, representations, or other terms that may apply to this Website or any content on it, whether express or implied.

5.7. Liability Exclusions for Business Customers

We shall not be liable to you for any loss or damage, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, even if such loss or damage was foreseeable, and arising under or in connection with the Facilitation Services. Specifically, we exclude liability for:

  1. Loss of profits, sales, business, or revenue.
  2. Business interruption.
  3. Loss of anticipated savings.
  4. Loss of business opportunity, goodwill, or reputation.
  5. Any indirect or consequential loss or damage.

6.2. Assignment of Contract

We may assign our rights and obligations under these Terms and Conditions to another organization. This means that we may transfer our contract with you to a different entity.

6.3. Transfer of Rights by You

You may not transfer your rights under these Terms and Conditions to another party without our prior written consent.

6.4. Third-Party Rights

This contract is solely between you and us. No third party shall have any rights to enforce any of its terms.

6.5. Severability

If any provision of these Terms and Conditions is deemed unlawful by a court or relevant authority, the remaining provisions shall continue in full force and effect. Each paragraph of these Terms and Conditions operates independently.

6.6. Waiver and Enforcement

Our failure to enforce any provision of these Terms and Conditions at any time shall not waive our right to enforce such provision at a later date. If we delay in taking action against you for breaching these Terms and Conditions, it does not mean that you are exempt from complying with them, and we reserve the right to take action against you at a later time.

 

Terms & Conditions for Professionals

These Terms and Conditions govern the facilitation services provided by ULPO.co.in ("Website") and are supplementary to the Website's Terms of Use applicable to your use of the Website.

  1. Definitions and Interpretation

1.1. For the purposes of these Terms and Conditions, the following terms shall have the meanings assigned to them below:

  • “ULPO Request”: A request submitted by a Prospective Customer as described in Clause 2.3.
  • “Credits”: Units purchased by a Professional, as detailed in Schedule 1, which grant access to relevant ULPO Requests.
  • “Customer”: A Prospective Customer who selects a Professional to provide services.
  • “Customer Contract”: The agreement entered into between a Professional and a Customer for the provision of Services.
  • “Fees”: The charges payable by you, as outlined in Schedule 1.
  • “Facilitation Services”: The service provided by ULPO.co.in involving the transfer of a Prospective Customer’s contact details to a Professional in exchange for Credits, thereby designating the Prospective Customer as a Contact, as outlined in Clause 2.4.
  • “Contact”: A Prospective Customer whose contact details have been shared with a Professional through the Facilitation Services.
  • “Prospective Customers”: Businesses or individuals using the Website to locate Professionals capable of delivering required professional services.
  • “Services”: The professional services offered by a Professional to a Customer.
  • “We/Us/Human Compass LLP”: The entity providing Facilitation Services through the Website, registered as a limited liability partnership in Mumbai, India.
  • “Website”: Refers to www.ULPO.co.in.
  • “You/Professional”: Any individual or entity offering professional services to Prospective Customers.

1.2. Headings are included for convenience only and shall not affect the interpretation of these Terms and Conditions.

1.3. References to "person" shall include individuals, corporate entities, associations, partnerships, trusts, organizations, joint ventures, governmental bodies, or any other entity with or without separate legal personality.

1.4. Any references to legislation or legislative provisions shall include subordinate legislation made thereunder and shall be construed as references to such legislation, legislative provisions, and/or subordinate legislation as amended, modified, extended, consolidated, re-enacted, and/or replaced from time to time.

1.5. Words or phrases such as "include," "includes," "including," "in particular," or similar expressions shall be construed without limitation. Consequently, they shall not restrict the meaning of the preceding words, and the ejusdem generis rule shall not apply.

1.6. References to "in writing" or "written" shall include communications via email.

 

  1. ULPO’s Contractual Model and Description of the Facilitation Service

2.1. Upon your acceptance of these Terms and Conditions, and in consideration of the Fees, ULPO.co.in shall provide you with contact details from time to time, as more fully described below.

2.2. Human Compass LLP operates the Website ULPO.co.in, which is designed to facilitate the provision of potential customers' contact details to professionals for a wide range of services.

2.3. Prospective Customers may search the Website to identify potential professionals who meet their requirements. We refer to Prospective Customer requests as "ULPO requests," each of which will detail the Prospective Customer's specific needs.

2.4. By accepting these Terms and Conditions, you agree to register as a "Professional" on the Website. This registration grants you the right to access relevant ULPO requests in exchange for Credits. If you redeem Credits in response to a particular ULPO request, ULPO.co.in will share with you the contact details provided by Prospective Customers, who will then be referred to as Contacts, allowing you to contact them. Prospective Customers are entitled to review responses from you and other Professionals and may choose to enter into a separate contract with you or another Professional. Upon engagement by a Prospective Customer, such individuals become your Customers. For clarity, a Customer is a client of the Professional, not of ULPO.co.in.

2.5. Upon completion of your registration as a Professional on the Website, ULPO.co.in shall provide a link from the Website to your own website and include a facility for Customers to review your performance, which will be available on the Website for Prospective Customers to view. You acknowledge and agree that any reviews left are the opinions of Customers, and neither ULPO.co.in nor Human Compass LLP shall be liable to you for the content of such reviews. You shall ensure that any website linked to your profile on the Website complies with all applicable laws, guidance, and regulations.

2.7. Important:

ULPO.co.in acts solely as a facilitator in providing the Contacts referred to above. The provision of any services by a Professional, including those provided by you, to a Customer shall be governed by a separate and distinct legal contract. In the event of any issues with the performance of such Services by you, the Customer shall have direct legal recourse against you, as the Professional, for any redress.

 

  1. Provision of Facilitation Services

3.1. ULPO.co.in shall provide the Facilitation Services with reasonable care and skill. In instances where the Website specifies that Contacts will be provided within a particular timeframe, time shall not be of the essence unless otherwise explicitly stated.

3.2. Subject to any express provisions to the contrary in these Terms and Conditions, all warranties, conditions, and other terms implied by law (whether by statute, common law, or otherwise) are hereby excluded from these Terms and Conditions.

3.3. Unlike other service providers, the Facilitation Services do not guarantee that you will be engaged by a Prospective Customer for services. Our role is limited to providing you with the opportunity to contact Prospective Customers. If you fail to secure an engagement with a Prospective Customer who has submitted a ULPO request on our Website, you shall not be entitled to a refund of Credits from us. For further details regarding our Credit refund policy, please refer to Section 6 below.

  1. Obligations of the Professional

4.1. You represent and warrant to ULPO.co.in that the Services provided by you to your Customers shall be performed by you, or any individual acting on your behalf, with due care, skill, diligence, and integrity, and to a standard reasonably expected by the Customer under the given circumstances. You further warrant that such Services shall comply at all times with all applicable laws, regulations, and guidelines, including but not limited to those relating to data protection, consumer rights, and health and safety.

4.2. You agree to:

(a) cooperate fully with ULPO.co.in in all matters relating to the Facilitation Services;

(b) provide, in a timely manner, any information reasonably requested by ULPO.co.in, ensuring that such information is accurate and complete in all material respects;

(c) comply at all times with the Website Terms of Use;

(d) adhere to all policies and requirements specified on the Website, as may be updated from time to time by ULPO.co.in;

(e) fulfill any vetting or verification requirements imposed by ULPO.co.in from time to time; and

(f) clearly communicate to Customers that any Services provided are rendered by you as an independent Professional and not by ULPO.co.in.

4.3. You shall comply with all applicable laws, statutes, regulations, and codes of practice relevant to your provision of Services.

  1. Purchasing and Using Credits

5.1. To access Contacts, you must purchase Credits from us. The cost of Credits is detailed in Schedule 1. Goods and Services Tax (GST) or its local equivalent shall be payable in addition to the Credit costs specified in Schedule 1. Payments may be processed through our third-party payment handler, Razorpay, without incurring additional charges to you.

5.2. All Credits shall be payable in accordance with the terms outlined in Schedule 1.

5.3. You may redeem the Credits you have purchased in exchange for Contacts on the Website. The Website will specify the number of Credits required for each individual Contact.

 

  1. Refunding Credits

6.1. All Credits purchased are non-refundable. We shall not offer any return of Credits in circumstances where the Contact(s) provided are accurate, but the Prospective Customer chooses not to respond to your introduction or if you fail to secure the job with the Prospective Customer. Additionally, if a Prospective Customer decides not to engage any of the professionals introduced by us, which is at their sole discretion, no refund of Credits shall apply.

6.2. ULPO.co.in reserves the right to refund Credits in exceptional circumstances, at its sole discretion. In the event that ULPO.co.in agrees to a refund, you acknowledge that you will not receive a monetary refund for those Credits. Instead, the refundable Credits will be reinstated to your ULPO.co.in profile account.

  1. Intellectual Property Rights

The ownership and any copyright, design rights, or other intellectual property rights in any material, data, or other information provided to you by ULPO.co.in, including all information and content on the Website (subject to any rights of third parties), shall remain with ULPO.co.in.

  1. Liability

9.1. As specified in Clause 2, you acknowledge that you remain solely responsible and contractually liable to Customers for the delivery of the Services. However, you further acknowledge that any failure to perform your contractual obligations under Customer Contracts in a proper and professional manner may result in reputational harm to ULPO.co.in. Accordingly, you agree to indemnify and hold harmless ULPO.co.in in full against all losses, including direct, indirect, and consequential losses; liabilities; costs; damages; and expenses incurred or suffered by us. This indemnity also extends to all claims or proceedings brought or threatened against ULPO.co.in by any third party (including, without limitation, Customers), as well as all costs (on a full indemnity basis) incurred by us in defending or settling such claims or proceedings. Such indemnification shall apply to any breach by you of your obligations under Clause 2.

9.2. Subject to Clause 9.4, ULPO.co.in’s maximum aggregate liability under these Terms and Conditions shall be limited to the total value of Credits purchased by you within the twelve-month period immediately preceding the event giving rise to the claim.

9.3. Subject to Clause 9.4, ULPO.co.in shall not be liable for:

(a) loss of profit, sales, or business (whether direct, indirect, or consequential);

(b) loss of goodwill, reputation, or opportunity (whether direct, indirect, or consequential);

(c) any liability owed by you to a third party, including but not limited to a Customer (whether direct, indirect, or consequential);

(d) loss of use or value of data or software (whether direct, indirect, or consequential); or

(e) any indirect or consequential loss.

9.4. Nothing in these Terms and Conditions shall exclude or limit the liability of either party:

(a) for death or personal injury caused by negligence;

(b) for fraud or fraudulent misrepresentation; or

(c) for any matter that cannot be excluded or limited under applicable law.

 

  1. Confidentiality and Use of Intellectual Property

10.1. You agree to maintain the confidentiality of any information provided by ULPO.co.in or relating to ULPO.co.in’s business, operations, or affairs. Similarly, ULPO.co.in agrees to maintain the confidentiality of any information provided by you that is expressly designated as confidential by you.

This obligation of confidentiality shall not apply to any information that:

(a) enters the public domain other than through a breach of this Clause 10.1; or

(b) is required to be disclosed by law, regulation, or any competent regulatory authority, provided that the disclosing party gives prior written notice (where legally permissible) and takes reasonable steps to minimize the extent of such disclosure.

10.2. Neither party shall use the name, trademarks, service marks, or logos of the other for promotional, advertising, or publicity purposes without obtaining the prior express written consent of the other party.

  1. Termination

11.1. Without prejudice to any other right or remedy available to ULPO.co.in, we reserve the right to terminate your registration as a Professional on the Website with immediate effect upon notice to you if:

(a) you fail to pay any sums due to us during the term of these Terms and Conditions;

(b) you breach your obligations under Clause 4 regarding the performance of Services Contracts with your Customers;

(c) you receive an excessive number of complaints and/or negative reviews from Customers and/or Prospective Customers concerning your Services or general dealings with customers;

(d) in our absolute discretion, we determine that your continued registration as a Professional on the Website could be detrimental to ULPO.co.in’s reputation;

(e) you are subject to an investigation by a competent regulatory authority.

11.2. Without prejudice to any other right or remedy available to either party, either you or ULPO.co.in may terminate your registration as a Professional on the Website with immediate effect by providing written notice to the other if:

(a) the other party commits a material breach of any term of these Terms and Conditions;

(b) the other party takes any step or action in connection with entering administration, provisional liquidation, or any composition or arrangement with its creditors (other than in relation to a solvent restructuring), being wound up, having a receiver appointed to any of its assets, or ceasing to carry on its business;

(c) the other party suspends, or threatens to suspend or cease, or threatens to cease carrying on all or a substantial part of its business; or

(d) the other party’s financial position deteriorates to such an extent that, in the terminating party’s opinion, the other party’s capability to adequately fulfill its obligations under these Terms and Conditions has been placed in jeopardy.

11.3. In the event that you cease providing the Services or no longer wish to be listed on the Website, you must notify us immediately so that we may withdraw your registration as a Professional on the Website, thereby preventing Prospective Customers from being provided with your details. For clarity, as stated in Clause 6, no refunds of Credits shall be given upon such withdrawal.

  1. General Provisions

12.1. These Terms and Conditions are personal to you, and you shall not assign, transfer, or subcontract any of your rights or obligations under these Terms and Conditions without obtaining our prior written consent.

12.2. Any notice required or permitted to be given by either party to the other under these Terms and Conditions shall be in writing and addressed to the other party at its registered trading address or such other address as may have been notified to the other party from time to time.

12.3. Nothing in these Terms and Conditions is intended to, nor shall it be construed as, establishing a partnership or joint venture between the parties, nor shall it constitute one party as the agent of the other, nor authorise a party to make or enter into any commitments for or on behalf of the other. The parties acknowledge and agree that each is an independent contractor, and nothing in these Terms and Conditions shall render either party (nor any staff of a party) an employee of the other.

12.4. If any provision of these Terms and Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the remaining provisions shall not be affected.

12.5. These Terms and Conditions shall be governed by and construed in accordance with the laws of India. The parties hereby submit to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, and waive any objection to such jurisdiction.

Schedule 1

Credit costs: ₹250.00 ex GST

Payment for Credits: Credits will be purchased in advance on the Website, App or via Razorpay’ payment services and credited to the Professional’s account.
